Part A — Terms That Apply to Everyone
1. About These Terms
In short. These Terms are the contract between you and inDrive for using the inDrive platform. They apply to everyone; Drivers also accept the Driver Addendum. The summary boxes like this one help you understand the terms — the numbered clauses are the binding text.
1.1. What these Terms cover. These Terms of Use (the “Terms”) govern your use of inDrive’s mobile applications, websites, products, content, tools and systems (together, the “Platform”) and of the services inDrive makes available to you through the Platform (the “inDrive Offerings”). Capitalised terms are defined in Annex A (Terms and Definitions), which applies to these Terms and to the Driver Addendum.
1.2. Who provides the Platform. In Nigeria, the Platform and the inDrive Offerings are provided by I.N.D. MOBILE TECHNOLOGIES LTD (“we”, “us”, “inDrive”). “You” means the person reading and accepting these Terms, whether you use the Platform as a Customer or as a Driver (as defined below).
1.3. The inDrive Rules. These Terms work together with the Privacy Policy, and other inDrive rules and standards published at https://indrive.com/legal or otherwise made available to you on the Platform (together, the “inDrive Rules”). If you use the Platform as a Driver, the Driver Addendum also applies to you. If you do not agree with these Terms or any other inDrive Rules, do not use the Platform.
1.4. How you accept these Terms. These Terms bind you from the moment you confirm your acceptance in the Platform interface or otherwise start using the Platform.
1.5. Where you use the Platform. The Terms may differ depending on the country you are in. By using the Platform in another country, you agree to the Terms of that country, and the Terms of the country in which a transaction is concluded apply to that transaction. You can find them at https://indrive.com/, by selecting the relevant country.
1.6. Languages. These Terms are available in English.
1.7. Reading aids. To make these Terms and the Driver Addendum easier to read:
- each major section starts with an “In short” box. These boxes are explanatory summaries only. If a summary and a numbered clause differ, the numbered clause applies;
- where we use “including” and give examples, the examples are illustrative — the list is not exhaustive unless we say it is.
Changes to These Terms
In short. We may update these Terms. Changes take effect when the updated version is published; where the law requires, we will notify you in advance or ask you to accept the changes again. If you keep using the Platform after a change, the updated Terms apply to you.
1.8. Updates. We may amend the Terms, for example when we launch new features, change how the Platform works, or need to reflect changes in the law.
1.9. When changes take effect. Changes take effect when the updated version is published on the Platform (in the app or on the website). We will inform you of changes through the Platform or by other contact channels where the applicable law requires the advance notice.
1.10. Effect of changes. If you continue to use the Platform after a change takes effect, the updated Terms apply to you. Where we have asked for your renewed acceptance, the updated Terms apply to you once you accept them. If you do not agree with the updated Terms, stop using the Platform and delete your Profile (Section 3).
2. What inDrive Is (and Is Not)
In short. inDrive is a technology platform that connects independent drivers with their customers. The drivers — not inDrive — perform the rides, deliveries and other services. The Platform is organised into Verticals: City, Intercity, Couriers and Freight.
2.1. Technology company. inDrive is a technology company. We provide an online platform where Users interact and conclude transactions with one another.
2.2. The marketplace. The Platform connects independent third-party providers of transport, logistics, courier and other services (“Drivers”) with their customers (“Customers ”) (together, “Users”). Drivers act in their own name, on their own initiative and at their own risk.
2.3. Verticals. The Platform consists of functional modules (“Verticals”), each designed for a specific category of transactions. The Platform currently supports the following Verticals:
- “City” — transportation of passengers within a single locality;
- “Intercity” — transportation of passengers between localities, including the ride-sharing mode, and sending parcels between localities;
- “Couriers” — delivery of parcels within a locality: up to 10 kg for delivery on foot, by bicycle or motorcycle, and up to 20 kg for delivery by car, unless the Platform interface states other limits; a heavier parcel may be accepted where the Platform interface allows it or the Driver expressly agrees;
- “Freight” — transportation of goods over 20 kg.
The availability of a Vertical may depend on your locality and may change over time. Vertical-specific rules are set out in Part B of these Terms; where Part B is silent, Part A applies.
2.4. What inDrive does not do. inDrive does not provide the transport, logistics, courier or other services available on the Platform, and is not a carrier, freight forwarder or courier organisation. We do not manage Drivers’ activities and do not instruct them on how to perform their services. Users decide independently whether to offer, provide or receive services.
2.5. No employment or agency. Features, algorithms or processes that make the Platform easier to use — such as recommendations, sorting, interface elements or feedback tools — do not create any employment, agency or similar relationship between inDrive and any User.
3. Your Profile
In short. You need a profile to use inDrive. Keep your details accurate, keep your profile to yourself, and tell us right away if someone else gets access to it. You can delete your profile at any time, with a few exceptions.
3.1. Registration. To use the Platform, you must register. Registration is available to persons who have reached the age of legal majority. On completing registration your Customer Profile is created; a Driver Profile is created additionally, at your request, under Section 3.2.
3.2. Driver registration. Customer and Driver Profiles differ. To create a Driver Profile, you must provide additional information and pass verification, as described in the Driver Addendum.
A Driver Profile is always linked to an identifiable individual who has passed verification and who is personally responsible for everything done through that Profile. A Driver who provides services in connection with a fleet, business partner or other legal entity remains personally bound by the Terms and the Driver Addendum. Where inDrive has a contractual relationship with such an entity, that relationship is governed by the separate agreement between inDrive and the entity.
3.3. Accurate information. You must give truthful, accurate and current information about yourself and update it promptly. We may ask you for additional data and supporting documents to comply with the law, ensure safety and prevent abuse, including identity verification (for example, a liveness check or a government-issued ID) where the law allows or requires it. The Privacy Policy explains how we process the data collected for these checks.
3.4. Your Profile is personal. You must not give anyone else access to your Profile, even temporarily or partially. Keep your login details — including passwords and one-time codes — confidential, and never share them with anyone, including people claiming to act on behalf of inDrive. You are responsible for everything done through your Profile.
3.5. Compromised Profile. If you suspect that someone else has accessed your Profile, notify inDrive support immediately. We may suspend or restrict access to the Platform if we have grounds to believe your Profile is being used by another person.
Deleting Your Profile
3.6. How to delete. You can delete your Profile in the app settings or by contacting inDrive support.
3.7. When deletion can be delayed. In limited cases deletion may be temporarily unavailable — for example, while you have an outstanding debt, while a dispute or investigation involving your Profile is open, where the law requires us to retain certain data, or where we need to retain limited data to prevent fraud or to enforce Profile Blocking (Section 8.4). Once the reason no longer applies, you can delete your Profile. The Privacy Policy explains how we handle your information when a Profile is deleted and how you can exercise your data-protection rights.
3.8. Inactive Profiles. We may delete your Profile if you have not signed in to it for more than 3 years.
4. How Deals Are Made on the Platform
In short. Customers publish orders; Drivers respond with Bids; the deal is concluded between the Customer and the Driver when the Customer accepts a Bid. In some countries the law determines or restricts the price — the app tells you how the pricing is determined. inDrive does not assign Drivers to orders and is not a party to the deal.
4.1. Freedom of choice. The Platform is built on the freedom of choice and independence of Users.
4.2. Orders. Customers may create orders describing the service they request and its parameters — points of departure and destination, payment method, proposed price, type and class of transportation, and similar details (each an “Order”).
4.3. Bids. Drivers may review Orders and respond with bids (“Bids”). Unless the law of your country restricts price negotiation (Section 5.3), a Bid may propose a price different from the price the Customer stated in the Order. By sending a Bid, the Driver confirms that they have reviewed the Order and agree to perform the service on the terms of their Bid.
4.4. Concluding the deal. The Customer may accept or decline any Bid. A transaction between the Customer and the Driver is concluded at the moment the Customer accepts the Bid. The transaction is between the Users; inDrive is not a party to it.
4.5. Published Bids and Orders in Intercity. In the Intercity Vertical (ride-sharing mode), Drivers may publish Bids for planned trips and Customers may publish Orders for trips they want to take. Users may view them, contact each other and agree on the terms. In this mode, the Platform acts as an information tool for exchanging proposals: the transaction is concluded directly between the Users when they agree the terms, and the Platform does not record its conclusion.
4.6. No assignment, no guarantee. inDrive does not assign Drivers to Orders and does not guarantee that any Order will result in a concluded transaction. Drivers decide independently whether to send a Bid.
4.7. Matching features. To make the Platform more convenient, it may include features that simplify finding a Driver and automate price agreement within the parameters the Customer sets, or that let Drivers automate the sending of Bids within parameters they set. These features do not change the nature of the transaction described in this Section.
5. Prices and Payments
In short. You and your counterparty agree on the price. We may show a recommended price and set price limits to prevent abuse. Where the law determines or restricts the price, the price shown in the app applies and cannot be negotiated. The agreed price covers everything unless the app says otherwise. If a bank reverses a payment (a chargeback), we may adjust the affected balance.
Pricing
5.1. Recommended Price. To help Users make an informed decision, we may show a recommended price — an approximate cost of the service calculated from route parameters (distance, duration) and other factors such as time of day, traffic, weather, and the actual and forecast balance of supply and demand on the Platform (the “Recommended Price”). Where the law of your country regulates fares, the Recommended Price is calculated within the limits set by the law or the competent authority.
5.2. Price Range. To prevent fraud and abuse and to protect Users, we may set an allowed price range — maximum deviations from the Recommended Price (the “Price Range”). Where a Price Range applies, Users may agree a price within it.
5.3. Pricing restrictions. Where the law requires it, or where a specific business model calls for it, we may introduce or remove restrictions on how the price is determined. In particular, where the law of your country determines the price, sets minimum or maximum fares, or prohibits price negotiation, the price shown in the Platform interface is the applicable price and Bids cannot propose a different one. The Platform interface always tells you which pricing model applies to your Order.
5.4. All-inclusive price. The agreed price includes all costs of the service — tolls, duties, and similar charges — and is inclusive of all applicable taxes where the law so requires, unless the Platform interface states otherwise.
5.5. No extra charges. Drivers must not demand any payment on top of the price agreed with the Customer through the Platform.
Payments Between Users
5.6. Payment methods. The Platform may support various payment methods between the Customer and the Driver. Available methods are shown in the Platform interface. We do not guarantee that a particular method is available in every city, Vertical or Order.
5.7. Direct payments. If cashless payment is unavailable, Users settle directly between themselves, outside the Platform, in cash or by bank transfer.
5.8. inDrive’s role in payments. inDrive is not a party to payments between the Customer and the Driver and is not responsible for them, except where the law or the inDrive Rules (for example, the Cashless Payment Terms) expressly provide otherwise. Technical tools that simplify payments — such as bank transfer templates or integrations with payment apps — are provided for information only and do not make inDrive a payment service agent, payment agent or party to the payment.
5.9. Cashless payments. The rules for cashless payments are set out in the Cashless Payment Terms. For the mechanics of cashless payments, top-ups, refunds and balance adjustments, the Cashless Payment Terms prevail over these Terms where the two differ.
Chargebacks and Reversed Payments
5.10. What a chargeback is. A “Chargeback” occurs when a payment associated with the Platform — such as a top-up of a balance or a payment processed through the Platform — is later reversed, refunded or disputed by a bank, card issuer or payment processor, including where a transaction is reported as unrecognised, unauthorised or fraudulent.
5.11. Balance adjustments. Where an amount credited to your balance, or applied towards the inDrive Fee or another amount payable, is reversed through a Chargeback, you authorise us to reduce, reverse or debit the corresponding amount from your balance. By accepting these Terms you consent to such adjustments, and we may make them without separate prior notice.
5.12. Negative balance. If your available balance does not cover the reversed amount, your balance may become negative. You must restore (top up) your balance by the outstanding amount, and we may require you to do so before you continue using the Platform. A negative balance reflects an amount you owe us because a payment was reversed; it is not a fee for access to the Platform.
5.13. Safeguards. We apply this Section only to Chargebacks confirmed or reported to us by the relevant bank or payment processor, and we keep a record of each case. If you believe an adjustment was made in error, contest it through inDrive support — we will review your case and reinstate any amount we find was adjusted incorrectly.
inDrive Fee
5.14. inDrive Fee. Customers do not pay inDrive for using the Platform. Drivers pay inDrive the inDrive Fee for the inDrive Offerings, as set out in the Driver Addendum.
6. Incentive Activities
In short. We may run promotions, bonuses and loyalty programs. Each one has its own rules. Bonuses are not money and we may withhold rewards obtained by mistake, fraud or in breach of the rules.
6.1. What we may offer. We may periodically organise promotions, bonus programs, contests, prize draws, discounts, referral programs, loyalty programs and other incentives (“Incentive Activities”).
6.2. Their terms. The terms of each Incentive Activity are set separately and communicated through the Platform or by notification. They may include rules for earning and using bonuses, duration, winner-selection criteria and other applicable conditions.
6.3. Rewards. Rewards earned in Incentive Activities — bonuses, discounts, loyalty points and similar — cannot be exchanged for money unless the terms of the specific activity expressly allow it.
6.4. Refusal and revocation of rewards. We may refuse to grant a reward — or, if it has already been credited, revoke, withhold or recover it, including by setting it off against amounts otherwise payable to you — if we determine, acting on reasonable grounds, that it was obtained by mistake, fraud, unlawfully, or in breach of the terms of the Incentive Activity or these Terms.
6.5. Changes and termination. We may suspend, change or end an Incentive Activity. Where an Incentive Activity states its own duration or change rules, those rules apply; otherwise, changes take effect when announced through the Platform and do not affect rewards you have already validly earned.
6.6. Taxes. You are responsible for any taxes connected with rewards you receive, unless the law or the terms of the specific activity provide otherwise.
6.7. Goodwill gestures. Outside Incentive Activities, we may at our discretion grant you a one-off bonus, credit or other gesture — for example, when resolving a support request. Such a gesture is voluntary, does not oblige us to grant it again in similar situations, and is not an admission of any debt or liability on our part.
7. Rules of Conduct
In short. Communicate only about the deal, be respectful, leave honest ratings, and never cheat the Platform — no fake orders, no rating manipulation, no payment abuse. Breaking these rules can lead to restrictions or blocking.
Communication Between Users
7.1. Channels. The Platform lets Users communicate through comments, in-app chat and in-app calls, where these features are available in your region. Where in-app calls are unavailable, you may contact another User via the mobile number shown in the app interface; your mobile operator’s rates apply.
7.2. Purpose limits. You may communicate with other Users only for purposes related to a transaction — including, in the Intercity ride-sharing mode, discussing a published Bid or Order before a transaction is concluded (Section 4.5). Communication must stop when the Order is completed or when the discussion ends without a transaction, except where needed to return a lost item or resolve another matter directly connected with the transaction. Any other communication is treated as intentional harassment and may lead to your Profile being blocked. If we learn of a breach of these communication rules outside the Platform, we may also act on it.
7.3. Monitoring. We may record, store and analyse communication between Users on the Platform to verify compliance with the inDrive Rules. We keep these records for the period stated in the Privacy Policy.
Communication with inDrive
7.4. Support. Our support team helps with questions, suggestions and complaints about the Platform. Contact us if you face technical difficulties, want to leave feedback, have encountered a breach of the Terms by another User, or want to challenge an action or sanction applied to your Profile.
7.5. Your side of the conversation. When contacting support, give truthful and accurate information, keep a respectful tone, and do not use offensive, derogatory or aggressive language or discriminatory statements on any grounds. We may decline to respond to communications that break these rules, and may temporarily restrict or block access to the Platform for systematic or gross violations in communication with our team.
Ratings and Reviews
7.6. Ratings. Users may rate each other after specific transactions. The aggregate of ratings forms a User’s rating on the Platform. The rating is visible to other Users and reflects the overall satisfaction with that User across their activity on the Platform.
7.7. Reviews. Customers may also leave reviews about Drivers, visible to other Users. Reviews and ratings are User Content and express the subjective opinion of their author, who is fully responsible for them.
7.8. Rating integrity. It is prohibited to:
- post knowingly false information in reviews;
- leave or commission ratings or reviews aimed at artificially raising or lowering a rating (rating manipulation);
- post reviews that break the law, third-party rights or the inDrive Rules.
7.9. Moderation of ratings. We may reject, remove or hide reviews and ratings that violate the Terms, acting on reasonable grounds, and may restrict or block the Profile of a User who posts them. Section 8 (reasons and appeal) applies to these decisions.
Prohibited Actions
7.10. In addition to the prohibitions in other sections, you must not:
Profile and identity
- transfer, sell or otherwise give access to your Profile to anyone else;
- use another person’s Profile or impersonate anyone;
- conceal your identity when interacting on the Platform;
- use another person's data or documents to register a Profile, pass verification or any other checks, or otherwise interact with the Platform;
Behaviour
- use the Platform for any purpose the Terms do not provide for;
- harass, threaten, discriminate against, provoke conflicts with or otherwise disturb Users;
- post materials containing defamation, obscene language, insults, pornography, scenes of violence or incitement to hatred;
- share other people’s personal data without their consent;
- fail to pay the Driver the price agreed through the Platform, or otherwise deceive or defraud another User;
Unsafe conduct
- as a Driver, allow anyone other than the Customer and the passengers travelling under Orders on the same trip (including shared Intercity trips) to accompany you in the vehicle while you perform an Order;
- as a Driver, provide services while affected by fatigue, alcohol or drugs, or — as any User — otherwise act unsafely or unlawfully;
Spam and content abuse
- post advertising, links, offers or commercial materials without inDrive’s written permission;
- send repeated calls, messages or Bids without the other User’s request or interest, including by automated means;
- use reviews, comments or other content to manipulate reputation;
Technical violations
- use automated scripts, parsers or other tools to collect, copy or extract data from the Platform;
- interfere with the Platform’s functioning or attempt to bypass access restrictions;
Law and inDrive Rules
- do anything that violates the law, third-party rights or the inDrive Rules;
- induce other Users to commit prohibited actions;
- act in a way that creates liability for inDrive or could cause us to be treated as a transportation carrier.
Anti-Fraud
7.11. The principle. Honesty, transparency and safety matter to us, so we prohibit any form of circumvention, manipulation or disruption of the normal use of the Platform.
7.12. Prohibited actions include, in particular:
Manipulating functionality
- using the Platform’s algorithms, features or interfaces in a way that circumvents their intended purpose;
- creating fictitious Orders or sending Bids without intending to fulfil them, including systematically cancelling confirmed Orders without reasonable justification;
- marking an Order as started, completed, delivered or cancelled contrary to what actually occurred, or falsifying any handover confirmation, photo, code or other evidence of performance;
- creating fake Profiles or, except where the Platform expressly allows it, multiple Profiles for the same person, or submitting fictitious data;
- manipulating geolocation;
- artificially influencing the balance of supply and demand on the Platform;
- exploiting features or vulnerabilities of information systems to inflate or deflate prices, including the Recommended Price;
- taking a transaction initiated through the Platform off the Platform — for example, agreeing with the other User to perform an Order outside the Platform, or cancelling it on the Platform and performing it anyway — in order to avoid the Terms or the inDrive Fee;
Third-party software
- using unauthorised external programs, scripts, plug-ins, bots or emulators;
- modifying or interfering with the Platform’s code, interface or logic;
- using third-party tools to bypass access restrictions;
Collusion and deception
- colluding with other Users or third parties to circumvent the rules (for example, false complaints, coordinated cancellations, fake reviews);
- reporting or confirming knowingly false information;
- acting by prior agreement to obtain unjustified benefits;
Payment abuse
- misusing payment, top-up, Chargeback or refund mechanisms, including reporting a legitimate or authorised transaction to a bank, card issuer or payment processor as unrecognised, unauthorised or fraudulent, or initiating Chargebacks in bad faith to obtain services or funds without paying.
7.13. Recovering avoided fees and unjustified payments. If, because of a breach of these rules (including manipulation, collusion or circumventing the payment system), inDrive did not receive the inDrive Fee due for an Order that was performed in whole or in part — whether or not it was marked as completed on the Platform — we may, acting reasonably and on documented grounds, charge the User the corresponding fee. In the same way, we may set off against any amount otherwise payable to the User, and where necessary recover any bonus, compensation or goodwill payment granted or paid as a result of such a breach. We may also reduce, reverse or debit amounts from a balance under the “Chargebacks and Reversed Payments” provisions in Section 5 where a payment associated with the Platform is reversed through a Chargeback. This keeps the Platform fair and preserves a level playing field.
8. How We Enforce the Rules
In short. We can check compliance, restrict features, or block a profile for violations. We will tell you the reason where the law allows, and you can appeal any decision you believe is wrong.
8.1. Compliance checks. We may at any time run checks of Users’ compliance with the inDrive Rules. During a check we may temporarily restrict access to your Profile or to particular Platform features.
8.2. Measures. If we establish that you have violated the inDrive Rules, we may — acting reasonably and taking into account the seriousness and repetition of the violation — issue a warning, temporarily or permanently restrict your access to features or individual Verticals, or temporarily or permanently block your Profile (“Profile Blocking”). Permanent Profile Blocking ends these Terms as they apply to you (Section 16.5). We may apply the same measures to any other Profile that, on reasonable and documented grounds, we identify as owned, controlled or operated by the same person, or as used together with your Profile as part of the same violation or abusive scheme; relevant indicators include shared devices, payment instruments, account details, transaction patterns or coordinated activity. Sections 8.3 and 8.5 apply to measures taken under this paragraph.
8.3. Reasons. When we apply a measure, we will tell you the reason for it and, where the measure is reversible, what you can do to restore your standing — except where the law prevents us from disclosing details, or where disclosure would compromise fraud prevention, the safety of others or the protection of a person who reported the issue.
8.4. Re-registration. If your Profile was blocked for violating the inDrive Rules, we may prevent you from creating a new Profile, including registration from other devices or with other data.
8.5. Appeal. If you believe your Profile was restricted or blocked in error, submit a request for review to inDrive support through the channels in Section 17. We will review your request and, if needed, contact you for additional information. If the measure proves unjustified, we will lift it.
9. Safety and Incidents
In short. Your safety is our priority, but we do not control what happens between Users during a trip or delivery. Check that your counterpart matches their profile, report incidents to us straight away, and call the emergency services first if something serious happens.
Safety Principles
9.1. The health and safety of inDrive Users is our priority. Current safety recommendations and a description of safety features are available at https://indrive.com/safety.
9.2. Stay alert. Exercise caution when interacting with other Users. We cannot guarantee that every Customer or Driver is who they claim to be. Check that the Driver’s appearance and details match the information in the app. If the person who arrives differs from the Profile, tell us — we will review the case and act.
Incidents
9.3. When to report. If an incident occurs — an accident, a conflict, a safety threat or another unusual situation — report it to inDrive support immediately. We recommend reporting whenever:
- a road traffic accident occurred, even without injuries, or other property damage occurred;
- a physical or verbal conflict took place during the trip;
- there were threats, harassment or other aggressive behaviour;
- a Customer refused to pay or otherwise violated the inDrive Rules;
- you suspect prohibited items or substances are being transported;
- any other situation threatened life, health or property.
9.4. Emergencies first. In serious cases — such as road accidents or crimes — contact the emergency services (police, ambulance) immediately, and then notify inDrive. Even if the situation has been resolved, do not delay reporting: it helps us make the Platform safer for everyone.
9.5. What to include. When reporting an incident, give us the date and time of the trip, the route, a description of the incident, details of the participants (if known), and photo, video or audio materials (if any).
9.6. False reports. Knowingly false reports, and misuse of in-app safety features (for example, the emergency button) without a genuine safety reason, may lead to sanctions, including Profile Blocking.
9.7. How we respond. We will review your report and may contact you for details. Incident reports are handled confidentially: we do not disclose the information to other Users or third parties without a legal basis. If we become aware of a serious incident — such as an assault, another threat to life or health, or a serious road traffic accident — we may report it to the emergency services or other competent authorities ourselves and share the information reasonably necessary for them to respond. While we review a complaint, we may temporarily restrict the reported User’s access to their Profile. Based on the outcome, we may apply the measures in Section 8. Liability for incidents is addressed in Section 14.
Lost Items
9.8. If you left something behind. Contact inDrive support and describe the date and time of the trip, the route, and the item (with distinguishing details). We will try to help you connect with the Driver directly so you can arrange the return.
9.9. Arranging the return. If the Driver confirms the item was found, agree the place, time and other return conditions with them directly (including possible compensation for their time and travel). We recommend recording the arrangement — for example, in a text message. If the Customer is not willing to pay compensation, they collect the item at the place and time the Driver indicates; the Driver must not obstruct the return.
9.10. Withholding items. Intentionally withholding found items or obstructing their return violates the inDrive Rules and the law. If this happens to you, contact support with evidence that the item was left in the vehicle; if the information is confirmed, we will act against the User.
9.11. Our role. inDrive is not liable for forgotten or lost items and does not undertake to investigate every case. We do what we reasonably can to help, but we do not guarantee the return of property and do not compensate for its loss.
10. Communications from inDrive
In short. We send system, transaction and marketing messages by email, SMS, push and calls. You can opt out of messages that require your consent. We may use automated tools, including AI, in our communications and support.
10.1. Types of messages. As part of the Platform, we may send you:
- system messages — about changes to the Platform’s operation, updates, technical failures and security;
- operational messages — notifications about specific transactions (for example, order status changes, cancellations, comments);
- marketing messages — offers of new features, products or promotions.
10.2. Channels. We may contact you by email, SMS, push notification and voice calls (including automated calls).
10.3. Consent and opt-out. For message types that require your consent, we comply with local law and give you the option to opt out.
10.4. Automation and AI. We may use automated systems, including artificial-intelligence technologies, to send messages, analyse inquiries, provide recommendations and support Users. Where the law requires, we will tell you when you are interacting with an automated system.
10.5. Records. We may record, store and analyse communications between inDrive and Users; we keep these records for the period stated in the Privacy Policy.
11. Third-Party Services, Content and Advertising
In short. Some products in the app come from other companies — their own terms apply, and inDrive is not responsible for them. The same goes for ads placed by third-party advertisers.
11.1. Third-party products. The Platform may give access to third-party products, services and content (for example, grocery or restaurant delivery, ticketing or booking services) — embedded modules, mini-apps, widgets, links, advertising and other elements. They may be built into the Platform interface or open via a link to the third party’s service.
11.2. Their rules apply. Your use of third-party products is governed by the terms and privacy policy of the relevant third party, which may differ from these Terms.
11.3. Our position. inDrive does not control third-party products and is not responsible for their content, availability, quality or safety, or for the consequences of using them, including possible damage or losses. You decide whether to use them and are responsible for your interactions with them. If you become aware of unlawful, fraudulent or otherwise prohibited content in a third-party product accessed through the Platform, report it to inDrive support; we act on such reports as the law requires, including by restricting the third party’s access to the Platform interface.
11.4. Integrated third-party services. Some third-party services may be integrated into the Platform interface so closely that they look like part of the Platform. They remain independent services operated by third parties: their own terms of use and privacy policy apply, and inDrive is not a party to contracts concluded through them and is not responsible for those orders, including delivery, quality of goods or timelines.
11.5. Advertising. We provide advertising space in the app interface. Advertising is placed by third-party advertisers. We do not verify, approve or endorse its content and are not responsible for it or for the consequences of relying on it. Advertisers bear sole responsibility for the accuracy, legality and correctness of their advertising.
11.6. Map features and content. The Platform includes Google Maps features and content. Your use of them is subject to the then-current versions of the Google Maps Platform Mobility Service Specific Terms (https://developers.google.com/maps/documentation/mobility/services/terms/policies/service-terms), the Google Maps/Google Earth Additional Terms of Service (https://maps.google.com/help/terms_maps.html) and the Google Privacy Policy (https://www.google.com/policies/privacy). Where the Platform uses other map or navigation providers, their terms apply in the same way.
12. Your Content
In short. What you post remains yours, but you give us a broad licence to use it — including to run, improve and promote the Platform. You are responsible for what you post.
12.1. What User Content is. You own the materials and information you post on or otherwise upload or submit to the Platform — for example, in your Profile, reviews or chats, or documents you submit to us (“User Content”).
12.2. Your responsibility. Do not post or upload User Content that violates the law, third-party rights or the inDrive Rules. You are fully responsible for the User Content you post or upload and for the lawfulness of its use.
12.3. Moderation. inDrive may, but is not obliged to, review and monitor User Content. We may refuse to post, temporarily hide or remove User Content if we have grounds to believe it violates the law, third-party rights or the inDrive Rules. Section 8 (reasons and appeal) applies to these decisions.
12.4. Licence to us. You grant us and our licensors, licensees and partners a non-exclusive, irrevocable, royalty-free licence to use User Content, with the right to sublicense. The licence is worldwide and unlimited in time, and we may use User Content without naming its author.
12.5. Purposes. Under this licence, User Content may be used in any way permitted by law — including reproduction, distribution, communication to the public, translation, adaptation and creation of derivative works — in particular to:
- improve, develop and test the Platform;
- develop, test and launch new inDrive products and services, within and outside the Platform;
- market and promote the Platform and other products of inDrive, its licensors, licensees and partners.
12.6. Other Users’ content. You must not copy, distribute or otherwise use other Users’ content without their prior consent.
12.7. Claims related to User Content. You must take reasonable steps to protect inDrive and our licensors, licensees and partners from claims related to User Content you post or upload. If such claims are made, we may require you to compensate the resulting losses. This clause survives termination of the Terms.
13. Intellectual Property
In short. The Platform belongs to inDrive and its licensors. We grant you a free licence to use the Platform for its intended purpose. Don’t copy, modify or reverse engineer the Platform, and don’t use our brand outside it.
13.1. Our rights. The Platform and everything in it — including the software, design, databases, content and trademarks — belong to inDrive and its licensors. These Terms give you no rights in the Platform other than the licence below.
13.2. Your licence. We grant you a non-exclusive, revocable, limited, royalty-free, non-transferable and non-sublicensable licence to use the Platform in the territory of the Federal Republic of Nigeria. The licence lets you install the downloadable elements of the Platform on your device and use the available functionality for its intended purpose.
13.3. Licence termination. The licence lasts for as long as these Terms apply to you and ends when they terminate, including when your Profile is permanently blocked (Sections 8 and 16.5). After that, you must stop using the Platform and delete its downloadable elements from your device.
13.4. What you must not do. You must not use the intellectual property of inDrive, its licensors, licensees or partners beyond what is needed to use the Platform for its intended purpose. In particular, you must not:
- reproduce or distribute the Platform or its elements without our prior permission;
- modify or adapt the Platform’s interface, functionality or visual components;
- reverse engineer, decompile or disassemble the Platform or otherwise try to access its source code, algorithms or structure (except where the law expressly permits);
- remove or alter trademarks or other branding elements, or use them outside the Platform.
Exceptions for Drivers (for example, permitted use of inDrive Branding) are set out in the Driver Addendum.
14. What We Are (and Are Not) Responsible For
In short. We are responsible for running the Platform with reasonable care. We are not responsible for how independent drivers perform their services, and our liability is capped. Nothing here limits rights that your local law says cannot be limited.
What We Are Responsible For
14.1. We must operate the Platform with reasonable care and make it available as described in these Terms.
Responsibility Between Users
14.2. Users answer for their own actions. Users are fully responsible for their actions on the Platform and for the transactions they conclude with other Users.
14.3. Claims go to the counterparty. If one User violates another’s rights, claims must be directed to that User. inDrive is not a party to the relationship between Users. Claims connected with accidents, road traffic incidents, damage to or loss of property, harm or losses must be directed to the relevant party to the transaction or the person who caused the harm — not to inDrive.
What We Are Not Responsible For
14.4. The Platform is provided “as is”. We do not promise that the Platform will operate without failures, errors or interruptions, will meet your expectations and purposes, or will be available at any time and from any device.
14.5. We are not liable for:
- how a Driver performs a service you ordered through the Platform, including its quality, safety, legality or timeliness;
- technical failures, temporary interruptions, data loss, communication failures and similar inconveniences, or the consequences of maintenance;
- events beyond our reasonable control, such as severe natural disasters, mass disturbances or actions of public authorities;
- losses caused by using, or being unable to use, the Platform, except where the law provides otherwise.
14.6. Not an employer or guarantor. We are not an employer, agent, guarantor or representative of Drivers, and not a party to agreements between Users. Beyond the registration checks described in the Driver Addendum, we do not guarantee that Drivers meet any particular requirements, or that disciplinary measures against a Driver are possible or inevitable in any given case.
14.7. Protective technical measures. We may block a Profile or restrict access to features where this is reasonably required to respond to a serious technical or security problem.
Limits of Liability
14.8. Liability cap. inDrive’s total liability is limited to NGN 150,000. To the extent the law allows, we are not liable for indirect, consequential or punitive losses, lost profits, lost data, or personal injury not caused by our breach.
14.9. Your responsibility to us. You must compensate inDrive and its affiliates, employees and agents for losses arising from your breach of the Terms or the inDrive Rules, your violation of the law or of third-party rights, or your misuse of the Platform.
14.10. Mandatory rights. Nothing in these Terms limits or excludes any rights you have under the laws of your country that cannot be limited or waived by contract, or any liability that the law does not allow us to limit or exclude.
15. Governing Law and Disputes
In short. The laws of the Federal Republic of Nigeria govern these Terms. Talk to us first — most issues are resolved by negotiation. If not, disputes go to arbitration administered by the International Arbitration Centre of the Astana International Financial Centre (Section 15.3). Nothing in this Section takes away rights that your local law gives you as a consumer and that cannot be waived.
15.1. Governing law. The Terms are governed by and interpreted under the laws of the Federal Republic of Nigeria.
15.2. Negotiation first. If there is a dispute, controversy, difference or claim, whether contractual or non-contractual, arising out of or in relation to these Terms, including its existence, validity, interpretation, performance, breach or termination ("Dispute"), the party raising it shall notify the other party in writing, setting out the nature of the Dispute, and the parties shall first try to resolve it amicably.
15.3. Arbitration. If the Dispute is not resolved within 60 days of the date of that notice, any such Dispute shall be referred to and finally resolved by arbitration administered by the International Arbitration Centre of the Astana International Financial Centre (the “IAC”) in accordance with the IAC Arbitration and Mediation Rules in force on the date on which the Request for Arbitration is filed with the Registrar of the IAC, which Rules are deemed to be incorporated into this clause.
16. General Provisions
16.1. Severability. If any clause of the Terms is found invalid or unenforceable, the remaining clauses stay in force. The invalid clause is replaced by a valid one that comes closest to its purpose.
16.2. Assignment. We may transfer our rights and obligations under the Terms to an affiliate or to a successor of our business, and you agree to such a transfer. We will notify you of it, and it will not reduce your rights; the Privacy Policy explains how your personal data is handled if the operator of the Platform changes. You may not transfer your rights or obligations under the Terms to anyone else.
16.3. No waiver. If we do not enforce a clause of the Terms, that is not a waiver — we may enforce it later.
16.4. Survival. Clauses that by their nature should survive termination remain in force after the Terms end — in particular Section 5 (amounts you owe us, including under the Chargeback provisions), Section 12.7 (claims related to User Content), Section 14 (responsibility and liability), Section 15 (governing law and disputes), this Section 16.
16.5. Ending the Terms. You may end these Terms at any time by deleting your Profile (Section 3.6). We may end them by permanently blocking your Profile under Section 8, or if we suspend or discontinue the Platform’s operation in your country — in that case we will give you prior notice as required by the applicable commercial and consumer-protection laws. When the Terms end, Section 3.7 (deletion of your Profile), Section 6.7 of the Driver Addendum (refund of unused funds) and the Privacy Policy apply.
17. Contact inDrive
17.1. You can contact inDrive support at https://indrive.com/contacts/support.
Part B — Vertical-Specific Terms
Part B contains rules that apply only within specific Verticals. Where Part B is silent, Part A applies. If Part A and Part B conflict for a transaction within a Vertical, Part B prevails for that transaction.
B1. Passenger Transportation (City and Intercity)
In short. City and Intercity are for carrying people. Meet the driver at the agreed point, wear a seatbelt, and don’t ask the driver to break traffic rules. On a shared Intercity trip, other passengers travelling under their own Orders may ride with you. These Verticals must not be used to send parcels without a passenger.
B1.1. Scope. This Section applies to transactions in the City and Intercity Verticals for the carriage of passengers.
B1.2. Passengers only. Transactions in these Verticals may cover the carriage of the Customer and, where the Order says so, other passengers travelling at the Customer’s request, together with their accompanying baggage. The Customer is responsible for the conduct of passengers travelling under their Order. In the Intercity ride-sharing mode, several Customers may travel on the same trip under separate Orders. Sending unaccompanied parcels is available only in the parcel modes covered by Section B2.
B1.3. Customer conduct. As a Customer, you must:
- be at the agreed pick-up point at the agreed time, or inform the Driver of a delay;
- follow basic safety rules during the trip, including wearing a seatbelt where provided;
- not ask the Driver to violate traffic rules, exceed passenger capacity or otherwise act unsafely or unlawfully;
- ensure that any minor travelling with you is accompanied and transported as the law requires, including any required child restraint;
- transport an animal only where the Order indicates it or if the Driver agrees, in a carrier where required, and in a way that is safe, lawful and does not damage or soil the vehicle;
- not damage or soil the vehicle; you are responsible to the Driver for damage you or persons travelling with you cause.
B1.4. Intercity ride-sharing. In the Intercity ride-sharing mode, Drivers publish Bids for planned trips and Customers publish Orders for trips they want to take (Section 4.5). The trip terms — route, time, price, baggage — are those agreed between the Users.
B1.5. Baggage. Baggage requirements (size, quantity, special items) should be stated in the Order or agreed with the Driver before the trip. The Driver may decline items that are unsafe, unlawful or were not agreed.
B2. Sending and Transporting Parcels (Intercity Parcels, Couriers, Freight)
In short. These rules cover parcels and freight. The sender is responsible for what is inside, for packaging and for the delivery details. Some items are strictly prohibited. The driver must handle the parcel with care and deliver it on time — and may refuse a suspicious one.
B2.1. Scope. This Section applies to the Verticals designed for transporting parcels and freight: the parcel mode of Intercity, Couriers, and Freight. It is prohibited to use these Verticals to conclude a contract for the carriage of passengers.
Customer Obligations
B2.2. The Customer — whether sending or receiving the parcel — must:
- make sure the parcel is not prohibited and does not fall under the restrictions in the inDrive Rules;
- make sure the parcel’s size and weight fit the transport type selected in the Order and any limits shown in the Platform interface;
- provide accurate and complete delivery information: address, recipient’s contacts, special instructions;
- if the recipient or the sender is a third party, make sure that they consent to hand over or accept the parcel and to the processing of their data by inDrive;
- ensure packaging that protects the parcel in normal carriage conditions;
- state in the Order any information about the parcel that may matter to the Driver;
- ensure the parcel is accepted by the recipient — in person or through an authorised person.
B2.3. Customer’s responsibility. The Customer is solely responsible for damage or delay resulting from a breach of the obligations above.
Regulated Goods
B2.4. Goods under legal restrictions. If the contents of a parcel include goods whose delivery is legally restricted — for example, by age restrictions, licensing, packaging or labelling requirements, or geographic or time limits — the Customer confirms that they hold all rights, licences and permits required for the delivery. The Customer is solely responsible for verifying the recipient’s right to receive such goods and for complying with all applicable laws, including age verification, labelling, packaging and delivery-time requirements.
B2.5. Special-rule goods. For goods subject to special rules (for example, alcoholic products), the Customer warrants that they are not intended for delivery to persons below the statutory age and, where relevant, that they do not require a prescription or a specialist’s order.
B2.6. Consequences. The Customer bears full responsibility for legal consequences or claims arising from sending goods in breach of this Section and must compensate inDrive for resulting losses under Section 14.9.
Driver Rights and Obligations
B2.7. Driver’s rights. The Driver may:
- ask the Customer to show the contents of the parcel and to seal the packaging in the Driver’s presence;
- refuse the Order if the Customer refuses to show the contents or the contents raise suspicion;
- refuse to complete a delivery of age-restricted or otherwise regulated goods (for example, alcoholic beverages) if the recipient is clearly a minor or has no legal right to receive them — in which case the Driver must notify the Customer.
B2.8. Driver’s duties. The Driver must:
- ensure timely and safe delivery of the parcel;
- take the precautions needed to avoid loss of or damage to the parcel during carriage;
- not leave the parcel without confirmed handover, unless the Platform interface indicates otherwise or the Customer agreed otherwise;
- make reasonable attempts to return the parcel to the Customer if a delivery attempt fails.
B2.9. Driver’s responsibility. The Driver is responsible for the safe and timely delivery of the parcel from acceptance to handover. If the parcel is lost or damaged during delivery, the Driver is liable subject to the limitation-of-liability provisions of the Terms and the law. If the Driver knew, or acting with reasonable care should have known, that the parcel violates the inDrive Rules, the Driver is responsible for that violation.
B2.10. Failed delivery. If delivery proves impossible — for example, nobody accepted the parcel or the Customer gave incorrect information — the Driver makes reasonable attempts to return the parcel to the Customer (Section B2.8), and the Users agree to any further steps, including compensation for the return, between themselves.
Prohibited Parcels
B2.11. It is prohibited to hand over or transport:
- narcotic drugs, prescription medicines, psychotropic and potent substances;
- alcoholic beverages — except where all of the following are met at the same time: (a) the Customer is a licensed seller legally entitled to sell and distribute alcoholic products in the relevant jurisdiction; (b) the Customer takes full responsibility for compliance with all applicable laws and regulations, including licensing, labelling, packaging, delivery-time and age-verification requirements; and (c) the delivery is not made to areas, or during periods, where the law prohibits it. inDrive does not verify the Customer’s licence and does not inspect parcel contents, and is not responsible for violations arising in the delivery of alcoholic beverages — the Customer bears sole and full responsibility;
- tobacco products and electronic cigarettes;
- toxic, radioactive, poisonous, corrosive, flammable and other hazardous substances, including those under pressure;
- weapons and their parts, ammunition, fireworks, signal flares and cartridges;
- explosive materials and components;
- hazardous waste, such as batteries;
- items and substances that, by their nature or packaging, may endanger people’s life or health, contaminate or damage other goods or property;
- funds in any form — including national and foreign currency, banknotes, coins, negotiable instruments, payment cards, cheques and money orders;
- high-value items, such as jewellery, precious metals, precious stones and products made from them;
- animals and plants, biological materials, and goods subject to veterinary control;
- items requiring special carriage conditions that the parties have not agreed;
- fragile items without special packaging;
- illegally acquired or stolen goods, and pirated or counterfeit products;
- goods the Customer has no legal right to own or dispose of;
- any goods the law prohibits from transportation.
Liability for Parcels
B2.12. inDrive does not participate in the transportation process and is not responsible for loss of, damage to, or problems with the delivery of a parcel, regardless of its value. Any maximum recommended value shown in the interface or stated in Section B2.13 does not mean that inDrive undertakes to compensate for that value. All risks connected with sending, packaging, storing and handing over parcels lie with the Customer and the Driver. Any parcel coverage or similar compensation service that inDrive or its partner may offer in your country is governed by its own terms, which set the conditions and limits of compensation; nothing in these Terms creates a right to such coverage.
B2.13. Recommended parcel value. We recommend that the value of any parcel sent via the Platform does not exceed NGN 50,000. This recommendation does not mean that inDrive undertakes to compensate that or any other value.
